1. Acceptance of these Terms
These Terms of Service (“Terms”) form a legally binding agreement between you (“you” or “User”) and Aqui Amigo LLC, a limited liability company doing business as Waige, governing your access to and use of the Waige mobile applications (including iOS and Android), the website located at waige.app, related APIs, content, features, and any other products or services we offer (collectively, the “Service”).
By creating an account, clicking “I agree,” downloading or using the Service, or otherwise accessing the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
IMPORTANT: THESE TERMS CONTAIN A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER IN SECTION 16 THAT AFFECT YOUR LEGAL RIGHTS. PLEASE READ THEM CAREFULLY.
2. Eligibility
You must be at least 18 years of age (or the age of majority in your jurisdiction, if higher) to use the Service. The Service is intended for users located in the United States. By using the Service, you represent and warrant that: (a) you meet the age requirement; (b) you have the legal capacity to enter into these Terms; (c) you will comply with these Terms and all applicable laws; (d) you are located in the United States (or otherwise using the Service only as permitted by applicable law); and (e) you are not barred from using the Service under the laws of the United States or any other applicable jurisdiction.
3. Nature of the Service; no financial advice
Waige provides tools that may allow you to estimate the “life hour” or time cost of purchases, record spending or decisions (including Buy / Skip / Unsure), set cooldowns or reminders, view illustrative investment or opportunity-cost estimates (including “invested instead” projections), receive Smart Swap or alternative-spending suggestions, and related educational or behavioral-finance features.
Waige is a personal decision-support and information tool only. The Service is not, and is not intended to be:
- a bank, credit union, money transmitter, payment processor, or financial institution;
- an investment adviser, broker-dealer, commodity trading advisor, or tax adviser;
- a certified financial planner or fiduciary;
- a credit reporting agency or consumer credit product; or
- a substitute for professional accounting, legal, tax, or investment advice.
Any calculations, estimates, benchmarks (including those derived from public or third-party data such as wage or labor statistics), projections, comparisons, or recommendations shown in the Service are approximate, illustrative, and for educational purposes only. They may be incomplete, outdated, or incorrect. Historical investment returns (including any assumed rates of return) are not indicators of future performance. You alone are responsible for your spending, saving, and investment decisions. You should consult qualified professionals before making financial decisions.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE THAT AQUI AMIGO AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS ARE NOT LIABLE FOR ANY FINANCIAL LOSSES, OPPORTUNITY COSTS, OR DECISIONS YOU MAKE BASED ON INFORMATION OR FEATURES IN THE SERVICE.
4. Accounts and security
Certain features require an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your credentials and for all activity occurring under your account. Notify us promptly at hello@waige.app of any unauthorized use.
If you authenticate through Apple, Google, or another third-party identity provider, you authorize us to access and use related account information as permitted by that provider and our Privacy Policy. Your use of those providers is subject to their separate terms.
We may refuse registration, reclaim usernames, or require additional verification at our discretion. We may suspend or terminate accounts that appear inactive, fraudulent, abusive, or in violation of these Terms.
5. License to use the Service
Subject to your compliance with these Terms, Aqui Amigo grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service solely for your personal, non-commercial purposes on devices you own or control, in accordance with these Terms and any applicable App Store or Google Play terms.
Except for the limited license above, Aqui Amigo and its licensors retain all right, title, and interest in and to the Service, including software, designs, trademarks (including “Waige”), logos, text, graphics, and other content. You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, or create derivative works of the Service except to the extent such restriction is prohibited by law.
6. User content
“User Content” means information, data, text, images, receipts, notes, and other materials you submit, upload, or otherwise make available through the Service (including transactions, Before you buy decisions, and profile information).
You retain ownership of your User Content. You grant Aqui Amigo a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, process, reproduce, modify (for formatting or technical purposes), display, and use User Content solely as necessary to operate, improve, secure, and provide the Service and as otherwise described in the Privacy Policy.
You represent and warrant that you have all rights necessary to grant the foregoing license and that your User Content does not violate any law or third-party rights.
7. Acceptable use
You agree not to, and not to attempt to:
- use the Service for any unlawful, fraudulent, harmful, or abusive purpose;
- interfere with or disrupt the Service, servers, or networks;
- access the Service through automated means (bots, scrapers, crawlers) without our prior written consent, except for public search engine indexing as we allow;
- probe, scan, or test the vulnerability of any system or network, or breach security or authentication measures;
- impersonate any person or entity or misrepresent your affiliation;
- upload malware, viruses, or other malicious code;
- harvest personal information of other users;
- use the Service to provide advice to third parties as a commercial service, or to build a competing product using non-public aspects of the Service;
- remove proprietary notices; or
- violate any applicable export control, sanctions, privacy, or consumer protection laws.
We may investigate violations and cooperate with law enforcement. We may remove content, suspend features, or terminate access without liability if we believe you violated these Terms or created risk for Aqui Amigo, other users, or third parties.
8. SMS, notifications, and communications
If you provide a phone number or enable notifications, you consent to receiving communications from us related to the Service, which may include account notices, security alerts, product updates, cooldown or Before you buy reminders, and other transactional messages via SMS, push notification, email, or in-app messages, as described in the Privacy Policy.
Message frequency varies. Message and data rates may apply. Consent to receive SMS is not a condition of purchase. You may opt out of non-essential SMS by following instructions in the message or contacting us. You may disable push notifications in device settings.
You represent that you are the subscriber or customary user of any phone number you provide and that you will update it if it changes. You agree to indemnify Aqui Amigo against claims arising from your provision of a number you do not have authority to use.
9. Third-party services and links
The Service may integrate with or link to third-party platforms, APIs, data sources, authentication providers, cloud infrastructure, analytics, or app stores. Aqui Amigo does not control and is not responsible for third-party services, their availability, accuracy, or policies. Your use of third-party services is at your own risk and may be subject to additional terms.
In particular, the Service may use Plaid Enrich for merchant/transaction categorization (not bank account linking) and OpenAI for merchant enrichment fallbacks and Ask Tim responses, as described in the Privacy Policy. Those providers process only the limited data we send for those features.
10. Subscriptions, fees, and taxes
Some features may be offered free of charge; others may require payment or a subscription. Pricing, billing periods, trials, and auto-renewal terms will be presented at the point of purchase and may be processed by Apple, Google, or another payment provider under their terms. Except where required by law or store policy, fees are non-refundable. You are responsible for applicable taxes.
We may change prices or feature packaging with notice as required by law or platform rules. Failure to pay may result in suspension of paid features.
11. Beta features; changes to the Service
We may offer experimental or beta features “as is,” which may be modified or discontinued at any time. We may update, modify, suspend, or discontinue any part of the Service (including calculations, data sources, or Smart Swap content) without liability to you, except that if you prepaid for a feature we materially discontinue, we will provide a remedy as required by applicable law or store rules.
12. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, AQUI AMIGO DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (B) ANY ESTIMATES, PROJECTIONS, BENCHMARKS, OR SUGGESTIONS WILL BE ACCURATE OR COMPLETE; (C) DEFECTS WILL BE CORRECTED; OR (D) THE SERVICE WILL MEET YOUR REQUIREMENTS OR PRODUCE ANY PARTICULAR FINANCIAL OUTCOME.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES; IN SUCH CASES, THE EXCLUSIONS APPLY TO THE FULLEST EXTENT PERMITTED.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL AQUI AMIGO LLC, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AQUI AMIGO’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO AQUI AMIGO FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).
THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES, LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED.
14. Indemnification
You agree to defend, indemnify, and hold harmless Aqui Amigo LLC, its affiliates, and their respective officers, directors, employees, contractors, agents, licensors, and partners from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms or any law; (d) your violation of any third-party right; or (e) any dispute between you and a third party relating to the Service.
15. Termination
You may stop using the Service at any time. You may permanently delete your account from within the Waige app (Profile → Delete account) or by contacting us at hello@waige.app. We may suspend or terminate your access immediately, with or without notice, if we believe you have violated these Terms, create risk or possible legal exposure for us, or for any other reason permitted by law.
Upon termination or deletion, your license ends and you must cease using the Service. We will delete or de-identify associated personal information as described in our Privacy Policy, subject to legal retention requirements. Sections that by their nature should survive (including ownership, disclaimers, limitations of liability, indemnification, arbitration, and miscellaneous) will survive termination.
16. Dispute resolution; binding arbitration; class action waiver
Informal resolution. Before filing a claim, you agree to contact us at hello@waige.app and attempt to resolve the dispute informally for at least thirty (30) days.
Binding arbitration. Except for the exceptions below, any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a “Dispute”) will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (or Commercial Rules if Consumer Rules do not apply). The arbitration will be conducted by a single arbitrator. The seat of arbitration will be in the United States, and hearings may be held by video or telephone unless the arbitrator requires otherwise. Judgment on the award may be entered in any court of competent jurisdiction.
Exceptions. Either party may bring an individual action in small claims court if it qualifies, or seek injunctive or other equitable relief in court for infringement or misappropriation of intellectual property rights.
Class action waiver. YOU AND AQUI AMIGO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS OR OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.
Opt-out. You may opt out of arbitration within thirty (30) days of first accepting these Terms by sending written notice to hello@waige.app with subject line “Arbitration Opt-Out” and your name, email associated with your account, and a clear statement that you opt out of arbitration. If you opt out, or if the class waiver is found unenforceable as to a particular claim, that claim will proceed in court subject to Section 17.
Time limit. To the extent permitted by law, any Dispute must be filed within one (1) year after the claim accrued; otherwise it is permanently barred.
17. Governing law and venue
These Terms and any Dispute will be governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs the interpretation and enforcement of Section 16. Subject to Section 16, exclusive venue for permitted court proceedings will lie in the state or federal courts located in Delaware, and you consent to personal jurisdiction there; provided that Aqui Amigo may seek injunctive relief in any appropriate jurisdiction.
18. Apple / Google platform terms
If you download the app from Apple’s App Store or Google Play, you acknowledge that these Terms are between you and Aqui Amigo only, not Apple or Google. Apple and Google have no obligation to provide maintenance or support for the Service. To the maximum extent permitted by law, Apple and Google have no warranty obligations with respect to the Service; any claims relating to the Service are our responsibility as between you and us. Apple and Google are not responsible for addressing claims relating to the Service or your possession/use of it, including product liability, legal/regulatory claims, and consumer protection claims. Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to your use of the iOS app and may enforce them against you.
19. Export and sanctions
You may not use, export, or re-export the Service except as authorized by U.S. law and the laws of the jurisdiction in which the Service was obtained. You represent that you are not located in a sanctioned country and are not a prohibited or restricted party under U.S. trade laws.
20. Changes to these Terms
We may modify these Terms from time to time. We will post the updated Terms on this page and update the effective date. For material changes, we may provide additional notice (for example, in-app or email). Your continued use of the Service after the effective date of revised Terms constitutes acceptance. If you do not agree, stop using the Service and delete your account.
21. Miscellaneous
These Terms, together with the Privacy Policy and any supplemental terms presented for specific features, constitute the entire agreement between you and Aqui Amigo regarding the Service and supersede prior agreements on the subject. If any provision is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely. There are no third-party beneficiaries except as expressly stated (including Apple). Notices to us must be sent to hello@waige.app. Headings are for convenience only. “Including” means “including without limitation.”
